1. Introduction

These Website Terms of Use ("Terms") govern your access to and use of the websites, mobile applications, and other digital services (collectively, the "Services") operated by the Communication Health Support Association ("CHSA," "we," "us," or "our"). By accessing or using any part of our Services, you agree to be bound by these Terms and you agree to comply with all applicable laws and regulations.

These Terms contain a class action waiver, as set forth below.

2. Changes to These Terms

We may update these Terms from time to time at our sole discretion. We will notify you of material changes by posting the revised Terms on our website with a new "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should discontinue using the Services.

CHSA reserves the right, but has no obligation, to monitor the Services for compliance with these Terms.

6. User-Generated Content

6.1 Your Responsibility

You are solely responsible for any content, materials, or information you post, upload, or otherwise submit through the Services ("User Content").

6.2 License to CHSA

By submitting User Content, you grant CHSA a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing and promoting the Services.

6.3 Representations and Warranties

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with these Terms and all applicable laws

7. Intellectual Property Rights

7.1 CHSA Content

All content, materials, and features on the Services, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of CHSA or its licensors and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

CHSA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. This license does not include the right to:

  • Modify or copy any materials from the Services
  • Use any materials for commercial purposes
  • Attempt to decompile or reverse engineer any software contained on the Services
  • Remove any copyright or proprietary notations
  • Transfer the materials to another person or "mirror" the materials on any other server

7.3 Trademarks

CHSA's name, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of CHSA or its affiliates. You may not use these marks without CHSA's prior written permission.

7.4 Copyright Infringement

9. Termination

9.1 Termination by CHSA

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, CHSA, third parties, or for any other reason at our sole discretion.

9.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitation of liability, and indemnification.

10.1 Content Disclaimer

CHSA DOES NOT CONTROL OR ENDORSE CONTENT POSTED BY USERS OR THIRD PARTIES ON THE SERVICES. UNLESS ATTRIBUTED TO AN AUTHORIZED CHSA SPOKESPERSON, CONTENT ON THE SERVICES REFLECTS ONLY THE VIEWS OF ITS AUTHORS. YOUR RELIANCE ON ANY SUCH CONTENT IS AT YOUR OWN RISK.

10.2 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

CHSA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.3 Limitation of Liability

Your sole and exclusive remedy if you are dissatisfied with any portion of CHSA's website or services is to discontinue use.

11. Indemnification

You agree to defend, indemnify, and hold harmless CHSA, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

12. Dispute Resolution

12.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Maryland, without giving effect to any choice or conflict of law provision or rule.

12.2 Jurisdiction and Venue

Any legal action or proceeding relating to your access to or use of the Services or these Terms shall be instituted exclusively in the federal or state courts located in Montgomery County, Maryland. You agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

12.3 Class Action Waiver

YOU AND CHSA AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THIS MEANS THAT YOU WAIVE YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

12.4 Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

13. General Provisions

13.1 Entire Agreement

These Terms and any other legal notices published by CHSA on the Services, constitute the entire agreement between you and CHSA concerning the Services.

13.2 Waiver and Severability

No waiver by CHSA of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CHSA to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

13.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without CHSA's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void.

CHSA may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

13.4 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and CHSA.
